Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and ShipEz Commerce Ltd. (“ShipEz”, “we”, “us”) governing your access to our website, dashboard, APIs, sourcing tools, and fulfillment services (together, the “Services”). By creating an account or placing an order, you accept these Terms.
1.Eligibility and accounts
You must be at least 18 years old and legally able to enter contracts. You agree to provide accurate business and billing information and to keep it current.
You are responsible for all activity under your account, including actions taken by team members you invite. Keep your credentials confidential and notify us immediately of any suspected unauthorized access.
2.Plans, trials, and billing
Paid plans are billed in advance on a recurring monthly or annual basis using the payment method on file. Prices are shown in USD and exclude taxes unless stated otherwise.
Free trials automatically convert to a paid subscription at the end of the trial period unless cancelled beforehand. You may cancel at any time from your billing settings; cancellation stops future renewals and takes effect at the end of the current term.
Product costs, shipping fees, and add-on services are charged separately per order and are not part of the subscription fee.
3.Orders, suppliers, and fulfillment
ShipEz connects you with third-party manufacturers, suppliers, and logistics partners. When you place an order, you authorize us to purchase and arrange fulfillment on your behalf.
Delivery estimates are estimates only. Customs handling, carrier delays, weather, and peak-season volume may affect transit times. Title and risk of loss for goods pass in accordance with the applicable carrier terms.
You are the merchant of record for your customers. You are responsible for your storefront, pricing, customer service, returns policy, and any promises you make to buyers.
4.Your responsibilities and acceptable use
You agree not to sell counterfeit, illegal, hazardous, recalled, or restricted goods; not to infringe intellectual property; not to engage in deceptive marketing, fake reviews, or payment fraud; and not to scrape, reverse engineer, or overload the Services.
You must comply with all applicable laws, including consumer protection, product safety, export control, sanctions, and tax rules in every market you sell to.
5.Intellectual property
ShipEz and its licensors own the Services, including software, catalogs, data, and branding. We grant you a limited, non-exclusive, non-transferable licence to use the Services during your subscription.
You retain ownership of your store content, designs, and trademarks. You grant us a licence to use them solely to operate the Services, produce print-on-demand items, and fulfill your orders.
6.Third-party integrations
The Services may integrate with storefront platforms, payment processors, ad networks, and carriers. Those services are governed by their own terms, and we are not responsible for their availability, pricing, or actions.
7.Disclaimers
The Services are provided “as is” and “as available”. We do not warrant uninterrupted or error-free operation, specific sales volume, product performance, supplier stock levels, or profitability.

8.Limitation of liability
To the maximum extent permitted by law, ShipEz will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data.
Our aggregate liability arising out of or relating to the Services is limited to the greater of (a) the subscription fees you paid to us in the three months before the event giving rise to the claim, or (b) USD 100.
9.Indemnity
You agree to indemnify and hold harmless ShipEz, its affiliates, and its personnel from claims, damages, and expenses (including reasonable legal fees) arising from your products, your store, your customers, or your breach of these Terms or applicable law.
10.Suspension and termination
We may suspend or terminate access if you breach these Terms, create risk or legal exposure, engage in fraudulent or abusive behaviour, or fail to pay amounts due. You may stop using the Services at any time.
On termination, your licence ends and we may delete account data after a reasonable retention period, subject to legal obligations.
11.Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
12.Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which ShipEz Commerce Ltd. is incorporated, without regard to conflict-of-law rules. The parties will first attempt to resolve disputes informally by contacting legal@shipez.co; unresolved disputes will be submitted to the competent courts of that jurisdiction.
